1. Acceptance of terms.

By accessing or using BizTaxMetrics (the "Site"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Site.

2. Not tax, legal, or financial advice.

The calculators, articles, and other content on this Site are provided for general informational and educational purposes only. Nothing on this Site constitutes tax, legal, accounting, or financial advice, and nothing on this Site creates a professional-client relationship between you and BizTaxMetrics.

Federal and state tax law is complex, fact-specific, and subject to frequent change. Before making any decision based on information from this Site, you should consult with a qualified CPA, enrolled agent, or tax attorney licensed in your jurisdiction.

3. No guarantee of accuracy.

We make reasonable efforts to ensure that the figures and formulas on this Site are accurate as of the date of publication, but we make no warranty as to their completeness, reliability, or fitness for any particular purpose. State filing fees, franchise taxes, and statutory rates change without notice. Always verify against the official source — typically your state's Secretary of State, the state Department of Revenue, and the Internal Revenue Service — before acting.

4. Limitation of liability.

To the fullest extent permitted by law, BizTaxMetrics, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your use of, or inability to use, the Site — even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Site is to stop using it.

5. Intellectual property.

All content on this Site — including the calculator source code, the underlying tax models, text, graphics, and design — is owned by BizTaxMetrics or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, republish, or redistribute the Site or its content without prior written permission, except for personal, non-commercial reference.

6. Third-party services.

The Site may link to third-party websites for additional context (e.g., a state Secretary of State's published fee schedule). We do not control, endorse, or warrant the content of any third-party site. Your use of third-party services is governed by their own terms and privacy policies.

7. Advertising disclosure (Google AdSense).

If third-party advertising (including Google AdSense) is enabled on this Site, it is disclosed here and on the Site itself. Third-party vendors, including Google, use cookies to serve ads based on a user's prior visits to this Site or other sites. Google's use of advertising cookies enables it and its partners to serve ads based on visits to this Site and/or other sites on the Internet. You may opt out of personalized advertising by visiting Google Ads Settings.

8. Changes to these terms.

We may update these Terms of Use from time to time. Material changes will be reflected in the "Last updated" date above. Continued use of the Site after a change constitutes acceptance of the updated terms.

9. Governing law.

These Terms of Use are governed by the laws of the United States and the state in which the operator is located, without regard to its conflict-of-law principles. Any dispute arising from or relating to these terms shall be resolved in the state or federal courts of competent jurisdiction in that state.

11. Acceptable use.

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict the use of the Site by, anyone else. You may not attempt to gain unauthorized access to any part of the Site, its code, or its data files; introduce malware, automated scraping at a rate that degrades service for others, or requests intended to overwhelm the infrastructure; or reverse-engineer, extract, or republish the Site’s tax models, fee tables, or underlying datasets as a product of your own.

Automated access for personal reference is fine. Systematic extraction of the state fee matrix or the calculator logic to build a competing database, dataset, or application requires prior written permission. Links to individual pages are welcome and encouraged; framing the Site inside another product or presenting it as your own is not.

12. Reliance on calculator outputs.

Calculator outputs are hypothetical estimates produced from the assumptions you enter and the data tables current as of the date you run them. They are not a projection, a guarantee, or a professional opinion, and you should not rely on them as a substitute for advice from a licensed professional who can see your full facts.

You are solely responsible for any filing, election, payment, or business decision you make based on information from this Site, including any deadline you miss or any penalty assessed by a tax authority. If an output conflicts with the official source, the official source controls, and we would like to hear about the discrepancy through the contact page.

13. Third-party sources and links.

The Site cites and links to primary sources — IRS publications, revenue procedures, state statutes, and Secretary of State fee schedules — so that you can verify any figure yourself. Those documents are authoritative; our summaries are not. We do not control third-party sites and are not responsible for their content, availability, or privacy practices. Following a link to an official source takes you out of this Site, and that source’s own terms apply.

14. Indemnification.

To the fullest extent permitted by law, you agree to indemnify and hold harmless BizTaxMetrics and its owners, contractors, and affiliates from any claim, liability, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Site, your reliance on its outputs, or your violation of these Terms. This obligation survives your cessation of use of the Site.

15. Availability, suspension, and termination.

We may modify, suspend, or discontinue any part of the Site at any time, including individual calculators or state pages, without notice. We may restrict access if we reasonably believe the Site is being used in violation of these Terms or in a way that degrades performance for other users. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive any termination.

16. No waiver; severability.

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision or any other provision in the future. If a court of competent jurisdiction finds any provision of these Terms to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire agreement; assignment.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BizTaxMetrics regarding the Site and supersede any prior or contemporaneous understandings on the same subject. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, or sale of assets; you may not assign them without our written consent. Headings are for convenience only and do not affect interpretation.

18. Dispute resolution.

If a dispute arises out of or relates to these Terms or the Site, you agree to first contact us through the contact page and attempt to resolve the matter informally for at least thirty (30) days before filing any formal claim. Any dispute that is not resolved informally will be governed by section 9 and brought exclusively in the state or federal courts of competent jurisdiction described there, and you consent to personal jurisdiction in those courts.

Nothing in these Terms limits any non-waivable consumer protection right available to you under the law of your jurisdiction.
